Terms of Service – Oryon Inspection

1. Acceptance of Terms

These Terms of Service ("Terms") are a binding agreement between you and Oryon Inspection. By accessing or using the platform, you confirm that you have read, understood, and agree to be bound by these Terms and by any policies or guidelines referenced herein. If you do not agree, do not create an account or use the service.

The service is intended for professional use by property managers, landlords, inspectors, and real estate professionals. You represent that you are at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the organization you represent.

2. Account Registration and Security

You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of login credentials and for all activities occurring under your account. Notify Oryon Inspection immediately of any unauthorized access or suspected security breach.

We may suspend or terminate access if account information is inaccurate, incomplete, or if we detect misuse, abuse, or security risks.

3. Service Description

Oryon Inspection provides professional property inspection software that allows users to create inspections, upload photos and notes, generate reports and PDFs, and use AI-assisted features for descriptions, suggestions, and summaries. The platform supplies tools only and does not replace professional judgment or expertise.

We may modify, enhance, or discontinue features at any time. Certain functionality may be limited by device, browser, or connectivity requirements.

4. Free Trial

We may offer a 14-day free trial with full access to available features. Trial eligibility may be restricted per individual or email. We may withdraw or modify trial availability at any time. You may upgrade to a paid plan or cancel during the trial; once the trial ends, continued access requires an active subscription.

5. Subscriptions, Payments, and Refunds

Paid subscriptions are offered on monthly and annual plans and are processed securely through Stripe. You authorize us and our payment processor to charge applicable fees and taxes. Plans auto-renew unless cancelled before the renewal date. If payment fails, we may suspend or terminate access until payment is resolved.

All fees are non-refundable, including for partial periods, unused time, or downgrades. Upgrades take effect immediately and may result in prorated charges. Pricing and plan features may change with notice when required by law.

6. Permitted Use and Prohibited Conduct

The platform is provided for professional property inspection workflows. You agree not to:

• Use the service if you are under 18 years old.
• Reverse engineer, decompile, or attempt to access underlying source code.
• Resell, sublicense, or provide the service to third parties without authorization.
• Scrape, harvest, or perform automated data extraction, including for competitive analysis.
• Use the service for fraudulent, illegal, harmful, or abusive activities.
• Interfere with or disrupt the platform, including by introducing malware or excessive traffic.

We may monitor usage to ensure compliance and may suspend or terminate accounts that violate these rules.

7. AI Features and Critical Disclaimer

AI-assisted features (including automatic descriptions, suggestions, and summaries) are experimental and may produce inaccurate, incomplete, or inappropriate content. They do not constitute legal, technical, or professional advice. Outputs may contain errors and should not be relied upon without human review.

8. Data Handling and Account Deletion

You may delete your account at any time. Account deletion is permanent and irreversible. Upon deletion, user data is permanently removed from active systems. Limited records such as email address, deletion date, and technical identifiers may be retained solely for legal compliance, security, audit, and abuse prevention. Deleted accounts cannot be restored.

9. Third-Party Services

The platform relies on third-party services, including Google Firebase/Google Cloud for hosting and authentication, Stripe for payments, and AI or automation providers for assisted features. Oryon Inspection is not responsible for outages, delays, data loss, or other issues caused by third-party providers. Your use of those services may be subject to their separate terms and privacy policies.

10. Intellectual Property

Oryon Inspection retains all rights, title, and interest in the platform and its content, including software, interfaces, graphics, trademarks, and documentation. Subject to your compliance with these Terms and timely payment of fees, you receive a limited, non-exclusive, non-transferable, revocable right to access and use the platform for your internal professional purposes. No other rights are granted.

11. Suspension and Termination

We may suspend or terminate access with or without notice if you violate these Terms, fail to pay fees, pose security or legal risks, or engage in fraud, abuse, or misconduct. Upon termination, your right to use the platform ends immediately and your data may be deleted as described in Section 8.

12. Disclaimer of Warranties

The service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Oryon Inspection disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and availability. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components.

13. Limitation of Liability

To the maximum extent permitted by law, Oryon Inspection will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business interruption, arising out of or related to your use of the service, even if advised of the possibility of such damages.

Our total liability for any claim arising out of or related to the service is limited to the amount paid by you to us for the service in the twelve (12) months preceding the event giving rise to the claim, or one hundred dollars (USD $100) if no fees were paid.

14. Indemnification

You agree to defend, indemnify, and hold harmless Oryon Inspection and its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the service, violation of these Terms, or infringement of any third-party rights.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United States (generic), without regard to conflicts of law principles. Any disputes arising from or relating to the service or these Terms will be resolved in courts of competent jurisdiction within the United States, and you consent to the jurisdiction and venue of such courts.

16. Changes to the Terms

We may update these Terms at any time. The "Last Updated" date will be revised when changes are posted. Continued access or use of the platform after updates become effective constitutes acceptance of the revised Terms. If you disagree with updates, you should stop using the service and delete your account.
